Em 3 de Janeiro deste ano, foram aprovadas três modificações ao Código Civil Brasileiro, todas elas relativas às sociedades limitadas.
A primeira de tais modificações se refere à possibilidade de destituição do sócio administrador por meio dos votos de mais da metade dos sócios, salvo disposição contratual em sentido contrário. Anteriormente, apenas seria possível aprovar tal destituição por meio dos votos dos sócios representando ao menos dois terços do capital social, caso tal capital social estivesse plenamente integralizado, ou por unanimidade, caso contrário.
A segunda das alterações visa a tonar mais clara a correta interpretação do Código Civil, ressaltando as exceções à regra geral dos quóruns deliberativos referentes às reuniões de sócios.
Por fim, a terceira alteração teve por objetivo simplificar o procedimento de exclusão de sócios minoritários por via extrajudicial, possibilitando que, em uma sociedade com apenas dois sócios, seja dispensada uma reunião específica para deliberar tal exclusão.
